These terms govern your use of adsquare.uk (the "Platform"), operated by Noviqent Ltd (company number 17232197) ("we", "us", "our"), trading as Adsquare. By creating an account, you agree to them. If you don't agree, please don't use the Platform.

1. What Adsquare is

Adsquare is a UK business directory and free classifieds platform. The business directory lets members find and review businesses by category and town, and lets businesses list or claim their own profile. The classifieds side (adsquare.uk/ads) lets members post and browse ads for items, property, jobs, services and more. We are not a party to any transaction, engagement, or agreement between members or with a listed business, we don't inspect or guarantee any item, service, job, or business listed, and we're not responsible for the outcome of any transaction or engagement arranged through the Platform. Any agreement is strictly between the parties involved.

2. Eligibility

You must be 18 or over and able to form a legally binding contract to use the Platform.

3. Your account

  • You're responsible for keeping your login details secure and for all activity under your account.
  • The information you provide must be accurate.
  • We may suspend or terminate accounts that breach these terms, provide false information, or engage in fraudulent or abusive behaviour.

4. Posting ads

  • Posting an ad is currently free. We may introduce paid promoted-ad options in future; if we do, pricing will be shown clearly before you're charged.
  • You must provide a valid means of contact (a phone number for most categories, or your account email for Jobs ads) so other members can reach you.
  • You may upload up to 5 photos per ad. Photos and descriptions must accurately represent what you're advertising.
  • You're solely responsible for the accuracy and legality of anything you list, and for vetting anyone you choose to transact with.
  • We may remove any ad, or suspend any account, that breaches these terms or is reported and found to be inappropriate, fraudulent, or unlawful.

5. The business directory

Some business profiles on the Platform are added directly by the business (or a person acting on its behalf); others are published automatically from publicly available sources, including Companies House data, without that business's involvement, before anyone from the business has confirmed or corrected the details.

  • Unclaimed or unverified profiles are provided for information only. We do not guarantee the accuracy, completeness, or currency of any business profile, whether or not it has been claimed or verified, and we are not responsible for decisions made in reliance on it.
  • Claiming a profile, or registering a new business, requires an automated identity check carried out by Noviqent IdCheck, a separate identity verification service - a live selfie compared against a photo of your government-issued ID, right in your browser. For a limited company, we also automatically check that the name on your ID matches a director currently registered at Companies House for that company. A claim or registration is approved automatically once these checks pass; if they don't, it's held for manual review by us instead. We may still revoke a claim or the Verified badge if we later find it was granted in error or the business no longer meets our criteria.
  • A claimed or Verified badge confirms only that we matched the claimant to the business at the time of approval - it is not an endorsement, accreditation, or guarantee of the business's quality, conduct, or service.
  • Contact details on a business profile are hidden until a visitor clicks to reveal them; this is a display mechanism only and does not affect your obligations under these terms.
  • Once claimed, the business is responsible for keeping its own profile information accurate.

6. Reviews

Reviews are submitted by members and reflect that member's own opinion of their own experience, not a fact verified by us. A review may be left on a business profile whether or not that business has claimed or verified it.

  • Reviews are held for moderation before publishing and may be rejected at our discretion, but moderation does not mean we have verified the review's factual accuracy.
  • A review can only be approved and published once the business it's about has been claimed, or where the profile was added directly by the business itself - an unclaimed, imported profile has no one accountable behind it yet to respond to a published review, so reviews left on one remain unpublished (though still submitted and visible to us) until it's claimed.
  • We are not responsible for the content, accuracy, or consequences of any review, and publishing a review does not mean we endorse or adopt the views expressed in it.
  • A business that believes a review about it is false, defamatory, or breaches these terms may report it to us; we'll review it but do not guarantee removal.
  • Submitting a review that you know to be false, or that is intended to mislead or harass, is prohibited conduct under section 8 below.

7. Contacting other members or businesses

Registered members can reveal another member's or business's contact details, or message a member through the Platform's built-in messaging. Contact details for classifieds ads are only shown to logged-in, registered members. Business directory contact details are hidden by default and can be revealed by any visitor who clicks to do so - see section 5.

8. Prohibited conduct

You must not:

  • Provide false, misleading, or impersonated information, including in a business claim or a review
  • List anything illegal, stolen, counterfeit, or prohibited by law
  • Use the Platform to send spam, malware, or unsolicited marketing
  • Scrape, copy, or republish Platform content without permission
  • Harass, threaten, or abuse other members or listed businesses

9. Reporting and moderation

Members can report an ad, a business profile, a review, or another member for review. We may investigate reports and take action including removing content, rejecting or revoking a claim, suspending an account, or any combination of these, at our discretion.

10. Intellectual property

The Platform's design, code, and branding belong to Adsquare. Content you submit (ad descriptions, business profile details, reviews, photos, messages) remains yours, but you grant us a licence to display it on the Platform for the purpose of operating the service.

11. Liability

To the fullest extent permitted by law, Adsquare is not liable for: the quality, safety, legality, or outcome of any item, service, or job listed by a member; the accuracy of any business directory profile, whether claimed, unclaimed, or Verified; the content or accuracy of any review; disputes between members or between a member and a listed business; or any loss arising from your use of the Platform, except where that loss is caused by our negligence or breach of these terms. Nothing in these terms excludes liability that cannot legally be excluded (e.g. for death or personal injury caused by our negligence).

12. Suspension and termination

We may suspend or terminate your account for breach of these terms, suspected fraud, or abusive behaviour. You may close your account at any time from your account settings.

13. Changes to these terms

We may update these terms from time to time. Continued use of the Platform after a change means you accept the updated terms.

14. Governing law

These terms are governed by the laws of England and Wales, and any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
